1. Parties, eligibility and acceptance
These Terms govern the current free, invite-only development testing program, including access to Clear AI Books software and related testing support (the "Service"). The program is intended only for U.S.-based CPA and bookkeeping firms, their U.S. business customers participating through an authorized arrangement, and their invited adult authorized business users. It is not a general consumer service or a program for children. U.S.-only eligibility does not mean all hosting or processing occurs in the United States.
"Customer" means the firm or business on whose behalf an authorized person expressly accepts these Terms. "User" means an individual invited to use the Service. A person accepting for a Customer must have authority to bind that Customer; otherwise that person must not accept on its behalf. Each User must accept the applicable individual obligations before access is authorized. An invitation alone does not establish authority to bind a business, a professional qualification, or permission to act for a client.
These Terms become binding only after they are made available to the relevant Customer or User and expressly accepted through the acceptance process designated for the program. Receiving or reviewing these Terms is not acceptance. Customers must ensure that Users acting for them comply with these Terms within the Customer's reasonable control. Customer acceptance does not override separate ownership or authorization rights in a client's records.
2. Free development service and current limitations
Invited development testing is currently free. There are no subscription charges, automatic paid conversions, minimum purchases or paid-service commitments under these Terms. Future paid subscriptions require separate terms presented and accepted before any charge. Participation creates no obligation to buy a future service.
Clear AI Books coordinates accounting evidence, independent AI recommendations, policy validation and human exception review around QuickBooks Online. QuickBooks Online remains the accounting system of record. The Service is a development system, not a production-ready accounting automation or payment service.
Current operational QuickBooks integrations are read-only sandbox workflows. Separate designated-development production-company OAuth has been prepared but has not been live-verified. Controlled development bill writes are not implemented. Automated production posting, payment execution and bank-connection changes are unavailable. Internal reviews, approvals and non-posting previews do not themselves post transactions, transfer money or authorize production activity. These Terms do not authorize a connection, test write or change to any existing company's permissions.
Features may change, fail or be discontinued during development. No release date, continued availability, service level or successful real-company integration is promised. Any later operational capability requires its own authorization and applicable terms; it cannot be inferred from a demonstration or these Terms.
3. Limited license and intellectual property
Subject to these Terms and the existing access controls, Clear AI Books grants each invited User a limited, nonexclusive, nontransferable license to access and use the Service during the testing program solely for authorized business testing and permitted workflows for clients the User may access. The license ends when that User's access or this agreement ends under Sections 12–13. It grants no authority beyond the permissions actually assigned.
Clear AI Books and its licensors retain rights in the software, interface, documentation and other Service materials, excluding Customer Data. No ownership in Customer Data transfers to Clear AI Books. Rights in third-party materials remain with their respective owners. No exclusive ownership, uniqueness or freedom from third-party rights is promised for AI-generated material.
Users may not resell or sublicense access, distribute unauthorized copies of Service materials, remove proprietary notices, or reverse engineer the software except to the extent applicable law permits despite this restriction. These restrictions do not limit lawful use of a Customer's own records, legally protected interoperability activities or rights granted by an applicable open-source license. All rights not expressly granted are reserved.
4. Accounts, authorized users and acceptable use
Users must use their own accounts, provide accurate identity information, protect sign-in credentials and promptly report suspected unauthorized access to support@clearaibooks.com. Accounts and credentials must not be shared. Customers must notify us when a User no longer has authority to act for them; access removal remains subject to verified identity and applicable controls.
Users may access only the firms, clients, records and actions for which they are authorized. Invitations, business titles, OAuth consent and agreement between AI agents do not confer additional roles or accounting authority. Do not impersonate a reviewer, represent an unverified qualification, approve your own work where independence is required, or circumvent segregation-of-duties or identity checks. No provision of these Terms expands application permissions.
Users must not upload unlawfully obtained data, infringe another person's rights, introduce malicious code, disrupt the Service, bypass access controls or attempt unauthorized transactions. Security testing requires separate express authorization. Do not submit patient or clinical data, payment-card credentials or other information requiring protections not established for this development program. Use fictional or synthetic information for synthetic-only tests; any other submission requires actual authorization and a permitted workflow.
5. Customer Data ownership and limited processing permission
"Customer Data" includes submitted accounting records, documents, client information, authorized QuickBooks reference data and Customer-specific review and analysis records. Customers and the relevant underlying rights holders retain ownership of their submitted accounting records. A firm using client records must have permission to do so; these Terms do not transfer that client's ownership to the firm.
The Customer grants Clear AI Books only the nonexclusive rights reasonably necessary to host, store, process, analyze, transmit, secure and provide the authorized Service, including necessary service-provider processing and handling lawful data requests. This permission is not a license to sell Customer Data, advertise with it or use it for unrelated purposes. Clear AI Books does not sell Customer Data. After termination, the permission continues only as necessary for the limited retention, security, dispute, legal and request-handling purposes described in these Terms and the Privacy Policy.
Customers and Users must have the rights and required permissions to submit data, authorize processing and act for the affected client. They must observe their own professional, confidentiality and legal obligations and submit no more information than the permitted test needs. This obligation does not excuse Clear AI Books from its own contractual or applicable legal responsibilities.
6. Privacy, providers and AI processing
The Privacy Policy describes information handling and forms part of the Service's data-handling framework upon adoption. These Terms and the Privacy Policy are adopted consistently; no unpublished policy or later material change silently expands the processing permission in Section 5. Mandatory legal privacy rights remain unaffected.
The current application uses Lovable-managed hosting on Cloudflare infrastructure and Lovable Cloud for account, database and file-storage services. Authorized AI analysis goes through Lovable AI services to a model provider; the current configured model is an OpenAI model. Requests may include relevant source documents, accounting references and policies. Connection credentials are not supplied to AI agents. An invitation does not authorize otherwise restricted AI execution.
Provider retention periods, model-training treatment, processing agreements, further subprocessors and exact storage or processing regions have not all been verified. We do not represent that providers never retain data, never train on it, or process it only in the United States. These unresolved facts must not be treated as verified protections or as permission for unrelated reuse. Provider terms do not relieve Clear AI Books of its own obligations. Users must separately comply with applicable third-party terms for their own accounts, including Intuit's terms.
7. Confidentiality
Each party must use the other's nonpublic information obtained through the Service only for authorized participation, providing and protecting the Service, or performing lawful obligations. Confidential information includes nonpublic Customer Data, credentials, business information and nonpublic Service materials. Each party must protect it with reasonable care, at least the care it uses for its own similarly sensitive information, and avoid unauthorized disclosure.
Disclosure is permitted only to authorized personnel, advisers and necessary service providers who need the information for those purposes and are subject to appropriate contractual or professional confidentiality duties, or as required by law. Where legally permitted, the receiving party must give reasonably practicable advance notice of compelled disclosure and disclose only what is required. This obligation is not a claim that every provider's contractual protections have already been verified.
These duties do not cover information the receiving party can demonstrate was already lawfully known without restriction, independently developed without using confidential information, lawfully received without restriction from a third party, or public through no breach of an obligation. Users must not disclose another client's records or share credentials. Confidentiality continues after termination for as long as the information remains confidential; applicable personal-data and trade-secret duties continue as required by law.
8. QuickBooks authorization, disconnection and records
Only a User holding the CPA role for the specific client can initiate, reconnect or disconnect a QuickBooks connection under the current controls. For the designated development company, the User must also satisfy the confirmed authorized-CPA and designated-client checks. Client representatives, managers, reviewers and other Users cannot currently manage that connection. A representative's ability to make a verified data request does not confer OAuth-management authority.
Consent occurs through Intuit's official OAuth process; Clear AI Books does not ask for a QuickBooks password. Connection credentials are handled server-side, stored with tenant-bound encryption and not returned by the integration to AI agents or browser screens. Intuit consent and scope do not independently authorize transaction writes, payments or a broader workflow.
The prepared designated-development Disconnect action first requests revocation of Clear AI Books' OAuth access at Intuit when a local token is available. It removes locally stored usable connection credentials only after Intuit confirms revocation and records the outcome. If revocation fails, local credentials are retained and the failure is recorded rather than representing a successful disconnection. If no local token exists, the application can mark the local connection disconnected, but that alone is not evidence that an outstanding Intuit grant was revoked. A failed attempt or local disconnected status without confirmed revocation must not be treated as proof that Intuit access has ended. The authorized CPA should seek assistance or manage the grant through Intuit if needed. Reconnection requires fresh authorization.
This is the prepared implementation, not a promise of live-verified production behavior. Production-company connection and disconnection have not yet been verified against a real company. Existing sandbox grants are separate and are not revoked by the designated-development action. Account closure must not be assumed to invoke or successfully complete Intuit revocation; the grant's outcome must be confirmed separately.
Disconnection does not erase QuickBooks accounting records or saved Clear AI Books reference data, uploaded documents, recommendations, reviews or audit history. QuickBooks records remain governed by the Customer's relationship with Intuit. Data deletion is a separate process described below.
9. Retention, deletion, requests and planned exports
Disconnection, suspension and account closure are not interchangeable with data deletion. Retention depends on the category of information and applicable obligations:
- Accounting evidence and audit history: Up to seven years after closure is a proposed recordkeeping policy only. It is not yet technically implemented or verified and is not a contractual seven-year storage guarantee. Audit history is designed to be append-only and may not support individual deletion.
- Ordinary account information: Identity and membership information may be removed or deactivated following a verified request, except where needed to preserve meaningful audit history or satisfy lawful retention needs.
- Connection credentials: The designated-development Disconnect process removes usable stored credentials only after confirmed Intuit revocation, as described in Section 8. A failed revocation does not establish deletion or closure of the grant.
- Backups and archives: Provider backups and the external write-once audit archive may not be individually deletable or follow the primary-record deletion schedule. Exact retention and expiry arrangements remain to be verified.
Customers and Users may request access, correction, deletion or export at support@clearaibooks.com. We must verify identity and authority for the affected account or client; a client's authorized representative or CPA may need to confirm requests involving that client's records. Requests will be addressed within applicable legal requirements, without promising an unverified fixed service deadline. Where a request cannot lawfully or technically be completed, we will explain the reason. Requests may be limited to protect other persons' rights or records needed for legal, tax, audit, security or dispute purposes; this is not a blanket right to retain everything indefinitely.
An authorized customer-export process before account closure is planned but is not yet available or guaranteed. A request is not a promise of a particular format, complete export, restoration or delivery time. Customers should retain their own source records and required backups outside this development Service, including in QuickBooks where applicable. This limitation does not eliminate statutory access or portability rights or our responsibility to respond to lawful requests.
10. Professional responsibility and AI limitations
AI-generated extraction, classification, explanations and recommendations can be incomplete, inconsistent or incorrect. Source evidence, approved policies, independent review and required human authorization remain controlling. AI agreement, apparent confidence or an internal review status is not accounting approval or posting authority.
Customers and their professionals retain responsibility for their professional judgments, advice, filings, recordkeeping and required client authorizations. Users must independently review outputs before relying on them and must not use this development program as a substitute for production accounting controls. Clear AI Books does not provide accounting, tax, legal, investment or payment services merely by providing this software. It remains responsible for its own obligations under these Terms and applicable law; professional responsibility is not a waiver of those obligations.
11. Reasonable care and disclaimers
Clear AI Books will exercise reasonable care in providing the development Service and performing its express obligations. Apart from those obligations and rights that cannot lawfully be excluded, the Service is provided "as is" and "as available." To the extent permitted by law, no other express, implied or statutory warranty is given, including implied warranties of merchantability, fitness for a particular purpose or noninfringement.
No uninterrupted availability, error-free operation, accounting accuracy, compatibility, recovery capability or suitability for production reliance is promised. No absolute security, regulatory compliance or security certification is represented. These disclaimers do not negate the confidentiality, processing or reasonable-care obligations expressly undertaken, excuse fraud or intentional misconduct, or exclude a nonwaivable legal right.
12. Suspension and restoration
Clear AI Books may reasonably restrict or suspend access to address a security risk, material misuse, loss of authority, violation of these Terms or a legal requirement. Restrictions should be proportionate to the issue where reasonably practicable. Notice identifying the reason and available next steps will be provided when reasonably practical; urgent risks or legal restrictions may require suspension before notice.
A User or Customer may contact support@clearaibooks.com to dispute a restriction or provide information addressing it. Where the issue is resolved and continued participation remains available, restoration is subject to the existing identity and authorization controls. No automatic restoration or appeal-tool functionality is promised. Suspension does not itself delete records or confirm Intuit revocation.
13. Termination and consequences
A Customer or User may end participation at any time by notice to support@clearaibooks.com. A User leaving does not automatically close the Customer's other accounts or erase shared client evidence. Closure requests remain subject to identity and authority verification.
Clear AI Books may end participation or the development program with reasonable notice where practical. It may terminate immediately for a serious security threat, unlawful use, a material authorization violation, or another material breach requiring immediate action. For a remediable breach without an urgent risk, it will ordinarily provide notice and a reasonable opportunity to remedy before termination. Lawful disclosure restrictions may limit the notice given.
On termination, the affected license ends and the User must stop accessing the Service. No charge or cancellation fee arises under this free program. Data is handled under Section 9 and the adopted Privacy Policy; termination does not promise deletion, an export capability or successful Intuit revocation. Customers should request any available authorized assistance and confirm OAuth outcomes separately.
Provisions needed to give effect to accrued rights and permitted retained processing survive termination, including data ownership, limited retained-data processing, confidentiality, professional responsibility for prior use, disclaimers, liability and dispute provisions. Survival does not authorize new unrelated use of Customer Data.
14. Liability allocation
Each party remains responsible for direct loss caused by its breach of these Terms, subject to applicable law, causation, proof and reasonable mitigation. No monetary liability cap is imposed in this free-testing agreement. In particular, liability is not reduced to zero because the program has no fees.
To the extent permitted by law, neither party is liable to the other for indirect, special or consequential losses arising from the agreement. This exclusion does not apply to fraud, intentional misconduct, gross negligence, breach of confidentiality, unauthorized use or disclosure of Customer Data, or liability that cannot lawfully be excluded. It does not exclude otherwise recoverable direct costs of responding to a confidentiality or data-handling breach merely because those costs arise after an incident.
No blanket release, mandatory customer indemnity, waiver of statutory privacy remedies or transfer of Clear AI Books' own misconduct to the Customer is included. This section does not excuse either party's express contractual obligations.
15. California law and dispute resolution
California law governs these Terms, without applying conflict-of-law rules that would select another jurisdiction's law, except where mandatory applicable law requires otherwise. This choice does not remove nonwaivable protections or remedies.
Before filing an ordinary contract claim, the parties will attempt good-faith informal resolution for at least 30 days after a written notice describing the dispute and requested resolution is received. Notices to Clear AI Books should go to support@clearaibooks.com or the mailing address above. This step does not prevent urgent protective relief, a claim that must be filed to preserve a deadline, a regulatory complaint or a remedy that cannot lawfully be delayed. It does not itself extend a limitation period.
If unresolved, disputes may be brought in California state courts in San Mateo County or the federal court serving that county, if the court has subject-matter jurisdiction. This is a nonexclusive forum; it does not prevent a party from using another forum available under applicable mandatory law, including an eligible small-claims forum. No mandatory arbitration, class-action waiver or jury-trial waiver is created by these Terms.
16. Notices, changes and general provisions
Customers and Users should keep their account contact information current. Clear AI Books may send program and contractual notices to that contact address. Notice is not deemed received merely because an email was sent if we know delivery failed; alternative reasonable notice should be used where practical.
Material changes to these Terms will be supplied by email or another direct written means before they apply where reasonably practical. Material new obligations require express acceptance; silence or continued use alone is not acceptance of new charges or materially expanded data-processing permissions. A party that does not accept may end participation without a fee. Immediate protective restrictions may still be imposed under Section 12. No automated notice or acceptance feature is represented as currently available.
These Terms and the consistently approved Privacy Policy are the agreement for this free testing program, together with any separately signed written agreement expressly identified as supplementing them. A specific separately signed agreement controls a conflict on its subject matter; nothing overrides mandatory law. Demonstrations, plans and informal statements do not create unimplemented functionality or permissions.
Neither party may transfer this agreement in a way that expands Customer Data use or removes the other party's protections without the other party's written consent, except as required by law. The parties are independent; no partnership, agency or professional-client relationship is created solely by use of the software. No third-party beneficiary is intended except where required by law. If a provision is unenforceable, the remainder continues to the extent lawful. Failure to enforce a provision once is not a continuing waiver.
